Banking and Finance
Banking and finance is one of Weerawong C&P’s four core practice groups. We assist both Thai and foreign banks, borrowers and other clients on all aspects of structuring, negotiating and documenting banking and finance transactions, including those that involve bank lending, project financings, commercial paper, export credit, commodities, acquisition financing and interest or currency swaps. We also counsel Thai and non-Thai financial institutions on a broad range of domestic regulatory matters.

Representation of Combined Heat and Power Producing Co., Ltd. (CHPP), 100% owned by PTT Public Company Limited, in connection with the financing transaction with Bangkok Bank Public Company Limited to build the power and chilled water plant facilities for supplying power and chilled water to the government center located in Chaeng Wattana area.

Representation of DBS Bank Limited in connection with an uncommitted bilateral US$120 million Trade Facility to Integrated Refinery Petrochemical Complex (IRPC) or, formerly known as Thai Petrochemical Industry (TPI).

Representation of a syndication of Thai Banks namely, Bangkok Bank Public Company Limited, Krung Thai Bank Public Company Limited, Government Savings Bank, Siam City Bank Public Company Limited, The Siam Commercial Bank Public Company Limited and TMB Bank Public Company Limited, and a syndication of foreign commercial banks namely Barclays Capital and Citicorp International Limited, in the refinancing of US$ 800 Million of debt for Thai Petrochemical Industry Company Limited (TPI)

Representation of Deutsche Bank AG in its financing of US$290 million granted to True Corporation for the acquisition of shares in United Broadcasting Corp (UBC), the operator of Cable TV, followed by delisting of shares.

Representation of KASIKORNBANK Public Company Limited, Siam Commercial Bank Public Company Limited, Bank of Ayudhya Public Company Limited, Siam City Bank Public Company Limited and Thai Military Bank Public Company Limited (now TMB Bank Public Company Limited) in connection with the Baht 26,000 million Facility Agreements with consortium comprising Siemens AG, Siemens Limited, B.Grimm International Limited, B.Grimm MBM Hong Kong Limited and Sino-Thai Engineering & Construction Plc. (STECON) for the financing of the Airport Rail Link Project owned by the State Railway of Thailand for the new Bangkok International Airport (Suvarnabhumi)

Representation of syndicated lenders (Bangkok Bank Public Company Limited, KASIKORNBANK Public Company Limited, Krung Thai Bank Public Company Limited and The Siam Commercial Bank Public Company Limited) in relation to the establishment of a long-term financing facility for True Co., Ltd. (formerly, TA Orange Co., Ltd.), one of the largest and most innovative mobile phone operators in Thailand. The total deal value was Baht 18,200 million and US$222 million.

Representation of Krung Thai Bank Public Company Limited in the refinancing of the Baht 30,000 million (US$750 million) loan to Thonburi Automotive Assembly Plant Public Company Limited, the largest dealer and automobile assembly of Mercedes Benz in Thailand.
