Pootkarn Boonyarak is an associate in the mergers and acquisitions practice
group. She also has experience in corporate, commercial and real estate law. Pootkarn has
represented local and international clients in the acquisition of businesses in various industry
sectors, including hotels, logistics, warehouses, food and beverages, and energy. Her experience
includes corporate restructuring, corporate establishment and dissolution, foreign investment, and
commercial contracts. Recent
Experience
Representation of a multinational chemical manufacturing company and other selling shareholders in
relation to the divestment of their shares in a leading manufacturer of chemical substances in
Thailand. The deal was signed on 13 December 2023 and closed on 15 December 2023. Transaction value
was approximately THB 1.9 billion (USD 55 million).
Representation of AIGF Advisors
Pte. Ltd. (Singapore) (AIGF) in the divestment of its KFC business in Thailand, whereby
Bamboo (Thailand) Holding Pte. Ltd., a special-purpose vehicle majority-owned by AIGF, has
successfully entered into a share purchase agreement with Devyani International DMCC (DID), a
subsidiary of Devyani International Limited (DIL), for the latter to acquire a controlling stake in
Restaurants Development Co. Ltd. (RD). RD, a franchisee of KFC Thailand, operates more than 270 KFC
restaurants across the country and employs more than 4,500 staff in Thailand. The deal was signed on
18 December 2023 and is expected to close before 31 March 2024, subject to customary regulatory and
other approvals.
Representation
of Innoquest Diagnostics One
(Thailand) Co., Ltd., in the acquisition of the entire
business of Lab Plus One Co., Ltd., a clinical diagnostics laboratory services business in Thailand
the indirect subsidiary of Pruksa Holding Public Company Limited. The transaction value was
approximately THB 220 million. The deal closed on 1 September 2023.
Represented Henkel
(Thailand) Ltd. (a subsidiary of Henkel AG & Co.
KGaA which is a leading German chemical and consumer goods company) in relation to the acquisition
of 100% shares in Shiseido Professional (Thailand) Company Limited from Shiseido Company Limited and
the subsequent subscription of newly issued shares in Shiseido Professional (Thailand) Company
Limited. The deal was signed in February 2022 and completed in July 2022. The transaction is part of
Henkel’s plan to expand its hair professional business in the Asia-Pacific region, including
Japan.
Representation
of Global Power Synergy Public Company
Limited (GPSC), the power flagship company of
the PTT Group, in the restructuring of GPSC’s battery business by transferring the battery business
(both shares and assets) to Nuovo Plus Co., Ltd., a joint venture company with Arun Plus Co., Ltd.
(a wholly-owned subsidiary of PTT Public Company Limited (PTT)) with a view to a greater expansion
of the battery business both in Thailand and outside Thailand. The transaction value was THB 2,428
million. The deal was signed in February 2022 and closed in
April 2022. Represented major
companies in the bidding process and acquisition of shares in food and beverage companies in
Thailand and overseas.
Represented a leading real estate developer in Thailand in the
establishment of a real estate investment trust (REIT) operating a property leasing and rental
business for warehouses and factories.
Advised a fitness company in relation to
licensing and compliance, contracts, and all aspects of the
business.
