Ms. Siregran
Sakuliampaiboon is a partner in the mergers and acquisitions practice group, specializing in
cross-border M&A transactions, corporate structuring, and business establishment in Thailand.
With experience at leading international law firms in Thailand, she oversees mergers and
acquisitions transactions and drafts and negotiates commercial contracts. Siregran advises key clients across various
sectors, including food and beverage, education, energy, healthcare, manufacturing, and media and
entertainment. She has an extensive track record of advising both Thai and foreign enterprises, as
well as major corporations, on significant M&A transactions. Her expertise extends to working in
foreign jurisdictions such as Japan, Australia, and the Philippines. Recent
Experience Representation of Dymon Asia Private Equity, a private equity firm focused on growth capital investments
in Southeast Asia, in the formation of a joint venture, TUSK Asia Co., Ltd., with the Ourairat
Family, the founders of the schools. This joint venture involved investing in Satit Bilingual School
of Rangsit University and British International School Phuket through an entire business transfer,
as well as the share acquisition of Satit International Bilingual School of Rangsit University
Chiangmai and SBS Bangkok— prominent and long-established schools in Thailand.
Representation of Universal Music Group, the
world leader in music-based entertainment, in its investment of 70% shareholding in a joint venture
with an estimated value of THB 1.6 billion, with RS Music, one of Thailand’s most successful music
and entertainment companies, holding a 30% shareholding. Since completion, the joint venture has
acquired and managed the music catalogues of more than 10,000 songs and their related content dating
from 1981-2022, such as music videos, lyrics, compositions, pictures, photographs, and other rights
under license agreements. The catalog represents more than 960 popular and well-known
artists.

Ltd. (Singapore) (AIGF) in the divestment of its KFC business in Thailand, whereby Bamboo
(Thailand) Holding Pte. Ltd., a special-purpose vehicle majority-owned by AIGF, has successfully
entered into a share purchase agreement with Devyani International DMCC (DID), a subsidiary of
Devyani International Limited (DIL), for the latter to acquire a controlling stake in Restaurants
Development Co. Ltd. (RD). RD, a franchisee of KFC Thailand, operates more than 270 KFC restaurants
across the country and employs more than 4,500 staff in Thailand.
Representation of Blackstone (BX), the world’s
largest alternative asset manager, in relation to the proposed acquisition of a majority stake in
Emerson Electric Co. (EMR)’s Climate Technologies business having a value of USD 14 billion. Under
the transaction, BX will acquire a 55% common equity interest in the standalone Climate Technologies
business and EMR will retain a 45% common equity stake. The transaction involves assets in several
jurisdictions, including Thailand. Representation of RealTruck,
Inc., the premier manufacturer of functional aftermarket automotive accessories, in the
acquisition of Mountain Top, the leading designer and manufacturer of truck bed accessories in
relation to the transaction in Thailand as part of a global deal. RealTruck’s acquisition of
Mountain Top, the leader in the OEM-focused European truck bed accessories market, further expands
RealTruck’s global footprint and supply base. Representation of Fiskars Group in the acquisition of the renowned Danish
luxury lifestyle brand Georg Jensen, globally recognized for its craftmanship and designs for
jewelry, watches, silver holloware and home products, from the private equity fund Investcorp. The
deal valued at EUR 151.5 million (USD 165 million). Representation of One Equity Partners in their strategic acquisition of Associated
Spring from Barnes Group Inc., a transaction valued at USD 175 million. This significant global deal
highlights our expertise in managing complex international transactions within the manufacturing
sector deal. Representation of Innoquest Diagnostics One (Thailand) Co., Ltd., in
the acquisition of the entire business of Lab Plus One Co., Ltd., a clinical diagnostics laboratory
services business in Thailand the indirect subsidiary of Pruksa Holding Public Company Limited. The
transaction value was approximately THB 220 million. Representation
of TOP Pte. Ltd. (a company managed by Dymon Asia Private Equity) and the Thai
founders in the divestment of their majority stake in Greenday Group Co., Ltd., a holding company of
Greenday Global Co., Ltd. which engages in the manufacturing of healthy snacks in Thailand, to
Calbee Inc., a worldwide corporation for the production and sale of potatoes and flour-based
products. The transaction was part of the expansion of overseas business of
Calbee.
Representation of Global
Power Synergy Public Company Limited (GPSC), the
power flagship company of the PTT Group, in the restructuring of GPSC’s battery business by
transferring the battery business (both shares and assets) to Nuovo Plus Co., Ltd., a joint venture
company with Arun Plus Co., Ltd. (a wholly-owned subsidiary of PTT Public Company Limited (PTT))
with a view to a greater expansion of the battery business both in Thailand and outside Thailand.
