Phanpicha Nityo is a senior associate in the mergers and
acquisitions practice group at Weerawong C&P. She has extensive experience advising on both
domestic and cross-border transactions across a wide range of industries, including healthcare,
financial services, retail, food and beverage, manufacturing, and the electric vehicle (EV) sector.
Her practice also covers corporate governance, company secretarial work, employment matters, foreign
direct investment, and a variety of complex transactional, corporate, and commercial
issues. Recent Experience Representation of Dymon Asia Private Equity, a
private equity firm focused on growth capital investments in Southeast Asia, in the formation of a
joint venture, TUSK Asia Co., Ltd., with the Ourairat Family, the founders of the schools. This
joint venture involved investing in Satit Bilingual School of Rangsit University and British
International School Phuket through an entire business transfer, as well as the share acquisition of
Satit International Bilingual School of Rangsit University Chiangmai and SBS Bangkok— prominent and
long-established schools in Thailand. Representation of Universal Music
Group (UMG) in its landmark acquisition of the remaining shares in RS UMG Company Limited,
granting UMG 100% ownership. This strategic move gives UMG full control of RS’s iconic back catalog,
which includes over 10,000 songs and is valued at more than THB 2.2 billion. This acquisition
further expands UMG’s influence and market presence in Thailand’s music industry. Representation of
One Equity Partners in their strategic acquisition of
Associated Spring from Barnes Group Inc., a transaction valued at USD 175 million. This significant
global deal highlights our expertise in managing complex international transactions within the
manufacturing sector.
Representation of First Brands Group, the global
automotive parts company that develops, markets and sells premium products through a portfolio of
market-leading brands, in the acquisition of 100% interest in the manufacturer and distributor of
the brake pad under brand “Bendix” in relation to the transaction in Thailand as part of a global
plan. (3 April 2024) Representation of Innoquest Diagnostics One (Thailand) Co., Ltd., in the acquisition of the entire business of Lab Plus One Co.,
Ltd., a clinical diagnostics laboratory services business in Thailand the indirect subsidiary of
Pruksa Holding Public Company Limited. The transaction value was approximately THB 220 million. The
deal closed on 1 September 2023. Representation of SCB X Public Company Limited ("SCBX"), a
mothership company of the SCBX Group, on its additional investment in Monix Co., Ltd., a joint
venture fintech company of SCBX and Abakus Group which focuses on businesses relating to digital
lending, alongside a fund managed by Lombard Asia, as part of the USD 20 million (approximately THB
700 million) equity fundraising by Monix Co., Ltd. The deal was signed and completed in January
2023. Representation of Clover Recycle Limited, a subsidiary of Clover Power Public
Company Limited, in relation to the acquisition of 60% shares in DKC Energy Joint Stock Company, a
Vietnamese company which operates a wood pellet manufacturing plant with the production capacity of
89,000 tons per annum, from Thien Mihn Duc Group Joint Stock Company. The deal was signed in April
2022 and completed in July 2022. Representation of SCB Securities Co., Ltd., a
subsidiary of The Siam Commercial Bank Public Company Limited, the proposed acquisition of 51%
interest in Bitkub Online Co., Ltd. (Bitkub), a leading digital asset exchange in Thailand, from
Bitkub Capital Group Holdings Co., Ltd. The transaction value is worth approximately THB 17.85
billion. The total market capitalization of Bitkub is THB 35 billion, marking another Thai
"unicorn". The investment in Bitkub is based on the recognition of significant growth opportunities
in the digital asset business and will enable SCBS, as a major shareholder, to further develop the
digital asset ecosystem in Thailand. The deal was signed on 2 November 2021 and is expected to be
completed by the first quarter of 2022. Representing one of the bidders in the proposed acquisition of Citigroup Inc.’s consumer
business in Thailand in 2021. Representation of Mineed Technology Company
Limited, a Thai company primarily engaging in researching and manufacturing medical devices,
pharmaceuticals, and cosmetics, in relation to its THB 25 million equity fundraising by issuing new
shares to minority investors, including BCV Innovation Company Limited (a subsidiary of Bangchak
Corporation Public Company Limited), Boon Ventures Company Limited and BSY Group Public Company
Limited. The deal closed in November 2021. Representation of EGAT International Company
Limited, a subsidiary of Electricity Generating Authority (EGAT) in its acquisition of 25% of
the total shares in Hou Ju Energy Technology Corporation, which operates a solar power generation
business in Taiwan with a total installed generation capacity of 37.596 MW, from MP Energy Company
Limited, a subsidiary of Mitr Phol Sugar Corp Ltd. The deal was valued at approximately NTD 155
million. (2020-2021) Representation of Mrs.
Wattana Somwattana and Mr. Sornsak Somwattana in their partial disposal of investments in
Nirvana Daii Public Company Limited, a company listed on the Stock Exchange of Thailand, to Mr.
Chatchai Piyasombatkul. The transaction triggered an obligation to make a mandatory tender offer for
all the remaining shares in the target company for the buyer. The deal valued at THB 605 million
(approximately USD 18.9 million) closed in June 2021. Advised Asset World Public Company Limited on corporate policies and
procedures in compliance with the Personal Data Protection Act B.E. 2562 (A.D. 2019), as well as a
related corporate training seminar. 2020 Advised Kuraray GC Advanced Materials Co., Ltd. on corporate policies and procedures in
compliance with the Personal Data Protection Act B.E. 2562 (A.D. 2019), as well as a related
corporate training seminar. 2020 Advised Honda Trading Asia Co. Ltd. on its personal data protection policies and procedures in
compliance with the Personal Data Protection Act. 2020 Representation of Berli Jucker Public Company Limited in relation to the merger and
acquisition and relevant anti-trust matters in connection with the proposed USD 10 billion (THB 310
billion) acquisition of the Tesco Lotus hypermarket chain in Thailand and Malaysia. Engaged by the Port Authority of Thailand (PAT) as an advisor to assist in the
reorganization of its legal department and legal procedures. The firm’s work focused on proposing a
reorganization of the department, manual and procedures, including guidelines for amending the Port
Authority of Thailand Act, B.E. 2494 (1951) in order to achieve the vision of the PAT to regulate,
govern and operate world class ports with excellent logistics services for sustainable growth by
