Banphot Kittikinglert is
a partner in the foreign direct investment, government and public sector practice group. Banphot has
extensive experience advising the Government of Thailand in the implementation of major
infrastructure projects. He also has substantial experience advising clients on corporate-commercial
law. Prior to joining the firm, he was the director of corporate services and the corporate
secretary of a private hospital. Recent Experience Advise the Department of Highways in relation to a compliance and implementation of data
compliance for their M-Flow System under the Thai Personal Data Protection Act 2019. Engaged by the Government of Thailand, Department
of Highways (DOH) in connection with its first public private partnership project in 20
years, the operation and maintenance contracts for the Bang Pa-in –
Nakhon Ratchasima Intercity Motorway (M6) and the Bang Yai –
Kanchanaburi Intercity Motorway (M81). These THB 39.1 billion (USD 1.15 billion) deals are
the first two projects for the government’s “Master Plan of Intercity Motorways” projected to be
carried out throughout the years 2017 – 2036, comprising 21 highway routes connecting numerous
provinces across Thailand. The firm’s work focused on drafting and advising the DOH on its various
project agreements and negotiating on behalf of the DOH with the private parties. The firm also
assisted the DOH in the drafting all of the bidding documents, e.g., request for proposals and
analyzing the results of market sounding. The contract was signed on 29 September 2021. Engaged by the Department of Highways, Ministry of
Transport as an advisor in relation to the THB 30.6 billion (USD 979 million) Rangsit – Bang
Pa-in Intercity Motorway. The firm’s work is focused on the research and analysis of a feasibility
report for the project as well as drafting, revising, and advising on the bidding
documentation. Representation of the Office
of the Eastern Economic Corridor of Thailand in relation to undertaking the public-private
partnership project for the advancement of the Genome Sequencing Center under the Genomics Thailand
Master Plan, including drafting the terms of reference, procurement agreement and advising on the
relevant regulations. The Genome Sequencing Center is a collaboration between the Office of the
Eastern Economic Corridor and Health Systems Research Institute in order to develop and achieve
effective genomic medicine and to encourage other related activities including genetic
testing. Engaged by the Port Authority of Thailand
(PAT) as an advisor to assist in the reorganization of its legal department and
legal procedures. The firm’s work focused on proposing a reorganization of the department, manual
and procedures, including guidelines for amending the Port Authority of Thailand Act, B.E. 2494
(1951) in order to achieve the vision of the PAT to regulate, govern and operate world class ports
with excellent logistics services for sustainable growth by 2030. Engaged by the Department of
Highways (DOH) as an advisor in relation to the THB 27.8
billion (USD 892 million) Bang Yai – Kanchanaburi Intercity Motorway (M81). This deal is one of the
first two projects of the government’s “Master Plan of Intercity Motorways” projected to be carried
out throughout the years 2017 – 2036, comprising 21 highway routes connecting numerous provinces all
across Thailand. M81 is also considered to be one of the flagship projects included in the Strategic
Action Plan of the Ministry of Transport’s Infrastructure Investment and the Ministry of Finance’s
PPP Fast Track scheme, both of which are aimed at expediting the fruition of a range of mega-project
plans designed to stimulate the Thai economy. The firm’s work is focused on the drafting, revising
and advising the DOH on its various project agreements and negotiating on behalf of the DOH with
private entities, as well as assisting the DOH in the drafting of all of the bidding documents, e.g.
request for proposals. The firm will also assist in conducting and analyzing the results of the
bidding process until the signing of the PPP contract with the winning bidder. Engaged by the Department of Highways (DOH) as an
advisor in relation to the THB 33.2 billion (USD 1.06 billion) Bang Pa-in – Nakhon Ratchasima
Intercity Motorway (M6) PPP project. This deal is one of the first two projects that are part of the

2017 – 2036, comprising 21 highway routes connecting numerous provinces all across Thailand. M6 is

Laem Chabang Port including advising the PAT on its various project agreements and negotiating on
behalf of the PAT with private entities. Representation of PTT Public Company
Limited, Thailand's largest energy firm, in an oil
retail spin off and THB 120 billion (USD 4 billion) restructuring. PTT Pcl restructured its oil
marketing and retail business, renamed as PTT Oil and Retail Business Co Ltd (PTTOR), including more
than 1,400 service stations, representing 40 percent of Thailand's petrol station market. The deal
involved the transfer of assets, undertakings, licenses, intellectual property and contracts in more
than 20 jurisdictions. Engaged by Thai Oil Public Company
Limited as an advisor in relation to the THB 21,321 million joint venture agreement on the
lease of state properties (30 year land lease agreement) with the Ministry of Finance under the PPP
laws. The firm’s work is focused on the bid submission process and negotiating and revising the
joint venture agreement with the Selection Committee under Section 35 of the Private Investments in
State Undertakings Act, B.E. 2556. |
