Jirayu Sanguankaew is a senior associate in the dispute resolution practice group. He represents clients in civil and criminal litigation, as well as domestic and international arbitration. Jirayu has expertise in a wide range of matters, including commercial, labour, tort, family, cybercrime, fraud, misconduct in organization and crisis management.

Recent Experience

Advised a Thai subsidiary of a majorsteel manufacturer in Japan and member of a globally known automobilemanufacturer Group in relation to a workplace investigation and terminationof employment including representing in court proceedings. Theresolution of this case could greatly affect how all employers handleterminations with cause in the future.

Advised a producer and distributor ofvehicle batteries in Thailand and its subsidiaries in a case involving dismissalfrom employment, alleged breaches of representations and warranties and analleged breach of share acquisition agreement brought by its former majorshareholders and founders of the group company.

Advised a Thai limited company, a whollyowned subsidiary of a Japanese-based iron, steel mill and ferroalloymanufacturer in cases related workplace fraud amounting to an estimatedUSD 2.7 million.

Advised a Finnish cargo company on phishing scams incident, a Thai limited company mistakenlytransferred several payments to a false bank account provided by the scammer,resulting in the client not receiving payment for certain products sold to Thailimited company.

Advised a leading international one-stop travel serviceprovider in relation to an online scam in which the client was deceivedinto transferring THB 90 million from Singapore to an account of the suspect inThailand.

Advised two listed Thai state-owned telecommunications companies on contentious employment matters arising from the amalgamation of two listed Thai state-owned telecommunications companies.

Advised a major international life assurance company inrelation to serious criminal allegations made against it and itsdirectors. The case involves an alleged fabrication of a loan agreement under alife insurance policy.

Advised a beauty product business in relation to an internallegal audit and an anti-corruption matter that involved an employee whoheld high-level management positions holding full authority as representativeof the local entity. This resulted in increased complexity in planning andconducting the relevant processes from a Thai legal perspective.

Advised a Thai subsidiary of a major steel manufacturer, agroup member of a vehicle manufacturing company, in relation to a matterrelated to a workplace investigation and termination of employment. Thiscase involved multiple claims/ counterclaims, both criminal and civil,commenced by affected employees for damages against multiple companies andindividuals.

Advised an US-owned natural gas processing and treatingsolutions provider on the business transfer transaction in respect of the employmentlaws that involved its Thai subsidiary, following its global acquisitionwith a worldwide supplier of products and services to the global powergeneration and gas production industry.

Advised a solutions provider in the oil, gas, water, and powermarkets on an internal legal audit and an anti-corruption matterinvolving the directors and high-level management in its Thai subsidiaryentity. also involving workplace fraud collaboratively committed by formeremployees with high-level management positions holding full authority asrepresentatives of the local entity resulting in increased complexity inplanning and conducting the relevant processes from a Thai legal perspective:the significant role involved advising on and planning for the termination ofemployment contracts following the outcome of the investigations

Advised a major Japanese conglomerate and its subsidiaries inrelation to the dismissal of employment and alleged breach of a shareacquisition agreement brought against our client by its former majorshareholders and founders of the group company

Advised a supplier to the oil industry on the intra-groupbusiness transfer transaction in respect of the employment laws following areorganization of its corporate structure. The company had to reorganize itscorporate structure which involved business transfer between its two Thai-localentities to be line with its global business plan.

Advised a Thai corporation in relation to a class labour suitagainst it claiming compensation. This followed the business reorganizing itscorporate structure which involved reducing its manpower to be in line with thereduction in the quantity of work.

Advised and acted for the Thai corporate in proceedings forappealing against the judgment of the First Instance Court to the AppellateCourt for Specialized Cases. The outcome was successful

Advised a wholly owned subsidiary of a Japanese-based Iron andSteel Mills and Ferroalloy Manufacturer in relation to cases of workplace fraudinvolving total amount of approximately USD 2.7 million.
