the business restructuring of the company and general corporate matters such as advising on rules

on consumer protection laws and regulations as well as the business operations of the company and
labor law advice.

Thai Eastern Plantation Public Company Limited on general corporate matters and business operations
on an annual retainer basis.
- Representation of
Nikkiso Co., Ltd. by providing general legal advisory services on corporate matters to the company
and its subsidiaries in Thailand, such as, issues relating to compliance with relevant laws, rules
and regulations, duties and liabilities of the company and its directors.
Regulatory Experience – General - Representation of Xiamen Lota,
client of MWE, in conducting legal due diligence for share acquisition in American Standard. Due
Diligence includes government approvals for transfer, title to assets, liens, environmental, labor
matters, taxes, corruption issues, contracts, and licensing.
- Representation of GE Commercial Finance in relation to the company’s legal
entities in Thailand, focusing mainly on licenses, business registrations, permits, etc., in order
to enable the client to ensure compliance with all applicable regulations to which their legal
entities are subject in their respective countries.
- Representation of Mauser, a German packaging company, regarding the roll out of their
compliance program to their Asian subsidiaries, including a Thai sub, Pack Delta
(Thailand).
- Representation of BTAM in relation
to the property fund for public offering which the client will set up under relevant securities laws
and regulations in connection with the proposed offering of real estate investment units in the
Fund.
