Passawish Sapklin is an associate in the litigation and arbitration practice group at Weerawong C&P. He also has experience in mergers and acquisitions, corporate law, real estate matters, and infrastructure projects.

Recent Experience

Engaged by the Office of the Energy Regulatory Commission (ERC) to conduct the legal research in order to revise the relevant legislations including those related to the licensing scheme of the energy business and the compliance with the license conditions, engineering, safety, environmental and occupational health standards with a view to implementing the one-stop service licensing and monitoring scheme for the overall licensing process of energy business in order to achieve the objectives and timeframes under the Thailand Power Development Plan (PDP) , as well as prepare the draft of several subordinate regulations under the Energy Industry Act B.E. 2007 for ERC to implement the one stop services licensing scheme.

Engaged by the State Enterprise Policy Office (SEPO) on the drafting of regulations and guidelines under the Private Investment in State Undertaking Act for PPP in joint investments with state agencies. This includes advice on policy and procedures for terms of reference, invitations for bidding, notifications, the selection process, calculation of the value of projects, as well as standardization of PPP contracts, amendment of contracts, defining material amendments to contracts, and distinguishing between material and immaterial amendments (2015-2016).

Representation of Total Access Communication Public Company Limited (“dtac”) in the landmark agreement to settle legal disputes with CAT Telecom Public Company Limited (“CAT”). Over the 27 year concession period, dtac and CAT had been engaged in numerous litigation cases, mostly over differences in interpretation of the concession agreement. The settlement will close all except two issues between dtac and CAT, and will also bar the parties from bringing new claims pertaining to the concession regime. According to this agreement, dtac will pay a total amount of THB 9.51 billion (approximately USD 298 million) to CAT. The settlement is subject to approval from dtac’s Annual General Meeting in April 2019.

Representation of Credit Guarantee and Investment Facility (CGIF), a trust fund of the Asian Development Bank, as guarantor on the issuance of the Partially Guaranteed Bonds of Siamgas and Petrochemicals Public Company Limited No. 2/2561 (2018), representing its support to a Thai corporate issuing bonds in Thai baht. The deal valued at THB 2 billion (approximately USD 63 million) closed on 7 December 2018.

Representation of Total Access Communication Public Company Limited and its subsidiary dtac TriNet Co., Ltd., (together “dtac”), leading mobile service providers in Thailand, in relation to the auction of the 1800 MHz spectrum license held by the Office of The National Broadcasting and Telecommunications Commission (“NBTC”). dtac was the auction winner for one license of 2 x 5 MHz spectrum bandwidth covering 1745-1750 MHz/1840-1845 MHz at the final bid price of THB 12,511 million (approximately USD 382 million) on 23 August 2018.
